NYMRSC Constitution
1 The name of the Club shall be North York Moors Ridge Soaring Club. Herinafter
shall be referred to as 'the Club'
2 The object of the Club shall be to encourage and support the flying and
construction of model aircraft on and around the North York Moors.
3 The Club shall consist of honorary, Junior, Full and Senior members. Juniors will
be under the age of 18 years, Senior will be those 65 years and over. Admission
to the Club will be by completed application form together with appropriate level
of subscription
4 The management of the Club shall be effected by an Executive Committee,
hereinafter known as 'the Committee' to be elected annually at the Annual
General Meeting (AGM). The Committee will consist of a Chairperson,
Secretary, Treasurer, and Membership Secretary. Any member of the Committee
may hold more than one office. In addition, the Committee may appoint up to
four non-executive members
5 Any one member of the Committee (normally the Treasurer) shall be empowered
to appoint any Bank, Building Society or other Financial Institution to be Bankers
for the Club. They shall be further empowered to give instructions by any means
to such Bankers in respect of making payments to the debit of any account of the
Club or in respect of any other transaction or financial matter of any kind
6 Subscriptions to the Club shall be set at the AGM. Payment of subscriptions shall
be facilitated by the Club to allow members to pay by cash, cheque or by
electronic means
7 The committee shall be allowed to pay all annual expenses necessary for the
running of the Club without recourse to the membership. Additionally they may
spend a further amount fixed at each AGM
8 The committee shall retire annually being eligible for re-election
9 The committee shall meet at the AGM and then as required
10 The committee shall have powers to co-opt members onto the committee to deal
with special items of business, or to fill vacancies that occur between election
periods
11 Members shall have the power to vote at any AGM and EGM (Exceptional
General Meeting) on matters arising. A quorum shall consist of at least 10
members (being counted and paid up) including committee members
12 The committee shall have the right to expel any member of the Club by
unanimous decision in the case of misconduct or intentional breach of the rules.
An appeal may be lodged against the decision of the committee and put before an
AGM or EGM. The member shall be suspended until the matter is resolved at an
AGM or EGM. (The AGM or EGM must be convened within 60 days from the
date of appeal)
13 A member wishing to resign from the Club shall forgo all subscriptions paid
14 Any member wishing to resign from the Club shall give written notice to the
Secretary
15 Any member over three months in arrears with subscriptions shall be considered
to have left the Club
16 No office of profit shall exist within the Club
17 The Club monies shall be invested in the Treasurer
18 A statement of accounts shall be finalised annually by the Treasurer and shall be
certified at the AGM by the Chairman
19 An Annual General Meeting shall be held each March
20 An EGM may be held at any time at the written request of ten members. This is
providing that 14 days written notice has been given to all paid members, stating
time, place and reason
21 The financial year end of the Club shall be the 31st of March
22 Flying members of the Club must carry their Club Card at all times as proof of
membership / Insurance
23 In all matters decided by vote, the Club decision shall be that receiving the
majority vote. Only in the event of a tie will the Chairman’s vote shall be taken
24 No Formal Club Meetings are scheduled, but at the discretion of the Committee,
a meeting may be scheduled at any time. In which case members are given
reasonable notice of such a meeting
25 Honorary members may only be proposed for consideration to the committee 28
days before the AGM
26 Any matter not decided by this constitution shall be decided by the committee
27 This constitution may only be altered at an AGM or EGM
28 Any member wishing to propose an amendment to the rules or constitution must
send written notice of the proposed alteration to the Secretary at least 28 days
before the AGM
29 A copy of the constitution shall be available free to each member
30 The committee shall regulate flying meetings of the Club by making rules from
time to time as the committee shall consider necessary and shall have the power
to impose any reasonable penalties they consider necessary in the case of a
breach of these rules
31 The decision of a Committee member is final on all aspects of flying where there
is deemed to be an issue with safety.
32 Any child under the age of 18 or any vulnerable adult wishing to join the
activities of the Club must be supervised by a parent or guardian, or by a person
with due written authority of care for the child or vulnerable adult. The parent or
guardian, or in the case of a vulnerable adult the carer, must be present at all
times during Club activities whether the child or vulnerable adult is participating
in them or not
33 Should it be considered necessary or desirable to dissolve the Association, the
Committee will call an Extraordinary General Meeting. Should a quorum fail to
appear, the meeting will be adjourned and a further EGM must be called. The
second meeting will proceed even if a quorum is not present and the motion will
then be carried by a simple majority vote.
34 On dissolution and after the sale of assets, settlement of all outstanding debts, and
commitments, then the remaining funds to be divided equally amongst the fully
paid up members at the date of the EGM when the dissolution vote was taken.
